TrustBuilder is not a law firm and does not provide legal advice. No attorney-client relationship is created by using this Service. The Service provides self-help tools and information for educational and planning purposes only. The documents generated by this Service are templates and may not be suitable for your specific situation. We make no representation that the documents generated will comply with the laws of your state or jurisdiction, or that they will be legally valid or enforceable. Legal requirements vary by state and change over time.

User Responsibility and Acknowledgment

Intellectual Property

The Service, including all content, features, functionality, software, templates, and design, is owned by TrustBuilder and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal use only.

Documents you generate using your own information are yours to use, but the underlying templates and Service remain our property. You may not redistribute the templates or use them to create a competing service.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES REGARDING ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF CONTENT OR DOCUMENTS
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED
  • WARRANTIES REGARDING THE LEGAL VALIDITY OR ENFORCEABILITY OF GENERATED DOCUMENTS

We do not warrant that the documents generated will meet your requirements, comply with applicable laws, or be suitable for your intended purpose. Use of the Service is at your sole risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRUSTBUILDER, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
  • DAMAGES FOR LOST PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
  • DAMAGES ARISING FROM USE OR INABILITY TO USE THE SERVICE
  • DAMAGES ARISING FROM RELIANCE ON GENERATED DOCUMENTS OR CONTENT
  • DAMAGES ARISING FROM LEGAL DISPUTES, CLAIMS, OR LOSSES RELATED TO DOCUMENTS
  • DAMAGES ARISING FROM ERRORS, MISTAKES, OR INACCURACIES IN GENERATED CONTENT
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR DATA

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO USE THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless TrustBuilder and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your reliance on documents or information generated by the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your violation of applicable laws or regulations
  • Any documents you create, execute, or rely upon using the Service

Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property disputes or to enforce arbitration.

Arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the jurisdiction where TrustBuilder is headquartered. Each party shall bear its own costs and attorneys' fees.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS. All claims must be brought in an individual capacity only.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which TrustBuilder is headquartered, without regard to conflict of law principles. Any legal action not subject to arbitration must be brought in courts located in that jurisdiction.

Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service immediately ceases. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

You may discontinue use of the Service at any time. We are not responsible for maintaining or providing access to data stored locally in your browser after termination.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the effective date at the top of this page and, where appropriate, by posting a notice on the Service. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service.

Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TrustBuilder regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
